Associate Director – Asia Head of Entity Management – Singapore

Corporate Governance Division is seeking to hire a Regional Head of Entity Management to oversee and administer the Group's subsidiary companies across the Asian region.

Reporting to Macquarie's Corporate Governance Global Head of Entity Management based in Sydney, the successful candidate will be responsible for ensuring that Macquarie entities comply with their statutory requirements and adhere to internal Macquarie policies. The role demands a close working relationship with the Group's regional senior management, Business areas, Compliance, Taxation and Finance Group globally. It provides an excellent opportunity for a high performer to drive their career forward with Macquarie.

Strong communication skills are essential including excellent spoken and written English with Cantonese/Mandarin an advantage.

KEY RESPONSIBILITIES:

  • Co-ordination and oversight of corporate governance matters for Group entities in all jurisdictions in which Macquarie operates across Asia
  • Management of 5 direct and 4 indirect reports based in Hong Kong, Singapore, India and Japan
  • Acting as an appointed Secretary of in-country Group companies
  • Oversight and senior governance support to the Macquarie Bank Limited Hong Kong Branch
  • Oversight and senior governance support to the Macquarie Bank Limited Singapore Branch
  • Engagement, control and oversight of external Corporate Governance/Legal advisors as required in relation to Company Secretarial aspect or restructures, transactions and entity management.
  • Ensure compliance and controls are in place for entity management in jurisdiction where the Division has no presence through use of local advisers both internal and external to Macquarie.
  • Due diligence and co-ordination of restructuring of Group companies including recapitalisations, redemptions, share transfers, etc. including regional cross collaboration.
  • Control and management of Incorporations and liquidations of Group companies
  • Assistance with management of non-Group companies in the region as agreed from time to time
  • Liaising with other Corporate Governance teams globally on matters affecting Asia entities
  • Involvement in Group-wide ad hoc projects within the Division as required
  • Ownership of allocated policy reviews and management of project teams looking at revised policy implementation

KEY QUALIFICATION AND SKILL REQUIREMENTS:
  • Minimum seven years corporate governance/company secretarial experience ideally in a large, multinational corporate environment
  • Financial services experience, particularly in banking and/or investment banking, would be a significant advantage. Excellent communication and interpersonal skills with the ability to build effective working relationships with diverse stakeholders
  • Proven track record in staff management
  • Well developed and demonstrated commercial and client service focus
  • Strong attention to detail, good planning, organising and project management skills
  • The ability to work well under pressure and meet deadlines is essential
  • Company Secretarial/Governance qualification or equivalent degree (GIA/ICSA preferred)
  • Ability to work across multiple jurisdictions and flexible approach to global mobility preferred
